Agreement between Merchants and Blissybest Private Limited (operating Blispy) for wholesale purchase & supply.
These Merchant Terms & Conditions (“Terms”) form a binding agreement between you (the “Merchant”) and Blissybest Private Limited (“Company”) operating Blispy.in and its mobile application. By enrolling as a merchant and placing wholesale orders, you agree to these Terms and the Privacy Policy of Blispy.
Goods: Vegetables, groceries, and related perishable/non-perishable items listed on Blispy.
Order: Any wholesale purchase request placed by a Merchant through the Blispy platform.
Credit Facility: Optional postpaid service with a predefined credit limit and period, as communicated by Blispy.
Other terms such as Credit Period, Price, Logistics Partner carry their generally understood meanings within these Terms.
Merchants may browse and place Orders via Blispy.in or the Blispy App. Tentative delivery times are displayed at checkout. Delivery may vary by ±90 minutes. Merchants must promptly accept deliveries at the agreed location and time. Blispy attempts delivery once; delays over 10 minutes may result in cancellation or recall without refund.
Prices are as displayed on the platform at the time of ordering and may change without prior notice until an order is confirmed. Payment is due upon delivery unless a Credit Facility is approved. Late payments beyond the agreed Credit Period may attract interest at 18% p.a. and suspension of future orders.
Merchants must inspect Goods at delivery. Claims for damage, quantity, or quality issues will not be accepted after acceptance. Perishable Goods affected by delays attributable to the Merchant are non-refundable. Reverse pickups are only possible when a new order is placed within 7 days of the original delivery.
All content, logos, trademarks, and proprietary rights of Blispy remain the exclusive property of Blissybest Private Limited. Merchants may not copy, reproduce, or misuse any Blispy intellectual property without written consent.
Either party may terminate this arrangement with two (2) days’ notice. Blispy may suspend or terminate access immediately in case of fraud, repeated payment default, or violation of law. Outstanding invoices remain payable even after termination.
Blispy’s liability shall not exceed the value of the disputed order. Under no circumstances shall either party be liable for consequential or special damages. These Terms are governed by the laws of India and subject to the exclusive jurisdiction of the courts of Himachal Pradesh.
No assignment of rights is permitted without prior written consent. Both parties are independent contractors; no partnership or agency is created. These Terms constitute the entire agreement and may be updated on the Blispy website from time to time.
